Terms of Service

1. Products and Services

Fathom Labs sells Bitcoin mining hardware (including Whatsminer ASIC miners) and offers hosting services for mining equipment in Southeast Texas. Product descriptions, specifications, and availability are provided for informational purposes and may change without notice.

2. Pricing and Quotes

Pricing for hardware varies by model and market conditions. Where a price is published on the Site, it applies to the specified product as available at that time. For products without a published price, and for hosting services, pricing is provided by quote.

All orders are arranged through quotes and invoicing. An order is not final until we confirm it and you complete the agreed payment terms. We reserve the right to refuse or cancel any order, including in cases of pricing errors, suspected fraud, or product unavailability.

3. Payment

Payment terms are specified in your quote or invoice. We accept payment by the methods identified during the ordering process, which may include cryptocurrency, bank transfer, or other methods as agreed. Full payment in accordance with the invoice is required before hardware is shipped or hosting services begin, unless otherwise agreed in writing.

4. All Sales Final

All hardware sales are final. We do not accept returns or offer refunds on hardware purchases. Please review all product specifications, pricing, and order details carefully before completing your purchase. By placing an order, you acknowledge and accept this no-return, no-refund policy.

5. Manufacturer Warranty

Mining hardware is covered by the warranty offered by the equipment manufacturer (for example, MicroBT for Whatsminer products), subject to the manufacturer’s terms, conditions, and time limits. Fathom Labs does not provide its own separate warranty on hardware.

If a machine arrives dead-on-arrival or develops a defect covered by the manufacturer’s warranty, we will assist you in facilitating a warranty claim with the manufacturer. The outcome, remedy, and timing of any warranty claim are determined by the manufacturer, not by Fathom Labs. Nothing in Section 4 (All Sales Final) limits any non-waivable warranty rights you may have under applicable law.

6. Hosting Services

Where you purchase hosting services, the specific terms — including fees, term length, power and uptime expectations, and your responsibilities — are set out in your hosting agreement or invoice. A per-machine onboarding fee may apply, covering items such as insurance, installation, shipping, and import duties as described at the time of your order. The physical location of our hosting facility is not published for security reasons; relevant facility details are provided to hosting customers as needed.

7. Shipping and Risk of Loss

We will arrange shipment of purchased hardware as described in your order. Unless otherwise agreed in writing, risk of loss passes to you upon delivery to the carrier. Delivery timelines are estimates and are not guaranteed.

8. Acceptable Use of the Site

You agree to use the Site only for lawful purposes and not to: attempt to gain unauthorized access to the Site or its systems; interfere with the Site’s operation; or use the Site to transmit harmful or unlawful content.

9. Intellectual Property

The Site and its content — including text, graphics, logos, and design — are owned by or licensed to Fathom Labs and are protected by applicable intellectual property laws. You may not copy, reproduce, or distribute Site content without our permission, except as permitted for your personal, non-commercial reference.

10. Disclaimers

The Site, products, and services are provided “as is” and “as available.” To the fullest extent permitted by law, Fathom Labs disclaims all warranties not expressly stated in these Terms, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Site will be uninterrupted or error-free.

Bitcoin mining involves financial risk. We make no representations or guarantees regarding mining profitability, returns, hardware performance over time, or the future value of any cryptocurrency. You are solely responsible for your own investment and business decisions.

11. Limitation of Liability

To the fullest extent permitted by law, Fathom Labs and its owners, members, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, or lost mining output, arising out of or relating to your use of the Site, products, or services. Our total aggregate liability for any claim arising out of or relating to these Terms, the products, or the services will not exceed the amount you paid to us for the specific product or service giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Fathom Labs and its owners, members, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the products, services, or Site.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms, the products, or the services will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site or our services after changes take effect constitutes acceptance of the updated Terms.
